These Terms and Conditions (“Terms”) form a binding agreement between you (“User,” “you,” or “your”) and SalesUmpire (“we,” “us,” “our,” or “the Company”) governing your access to and use of the SalesUmpire platform (“the Service”).

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Description of Service

SalesUmpire is a sales outreach platform that allows businesses to:

Build and send automated email sequences
Monitor replies through inbox access
Manage contacts and prospects
Find prospect contact information through our prospecting tool
Send personalized emails
Track performance of outreach campaigns

We may add, change, or remove features at any time.

Eligibility and Account Registration

You must be at least 18 years old and able to form a legally binding contract to use the Service.
You must provide accurate, complete registration information and keep it up to date.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
You must notify us immediately of any unauthorized use of your account.

Acceptable Use Policy

Because SalesUmpire is used to send outreach emails, you agree to use the Service responsibly and legally. You may not use the Service to:

Send unsolicited bulk email in violation of applicable anti-spam laws (including but not limited to the CAN-SPAM Act, GDPR, CASL, or equivalent laws in your jurisdiction)
Send emails containing false or misleading header information, deceptive subject lines, or content designed to disguise the sender's identity
Fail to honor unsubscribe or opt-out requests
Send content that is fraudulent, deceptive, defamatory, obscene, or harassing
Send phishing emails, malware, or content intended to compromise a recipient's device or data
Scrape, harvest, or acquire contact data in violation of applicable law or a third party's terms of service
Impersonate any person or entity, or misrepresent your affiliation with any person or entity
Violate any applicable local, national, or international law or regulation
Interfere with or disrupt the integrity or performance of the Service
Attempt to gain unauthorized access to the Service, other accounts, or related systems

You are solely responsible for the content of your emails and for complying with all laws applicable to your outreach activity, including obtaining any consents required in your recipients’ jurisdictions

We reserve the right to suspend or terminate accounts that violate this policy, with or without notice.

Prospecting Data

Our prospecting feature provides business contact information sourced from public and licensed data sources. You agree to:

Use prospect data only for legitimate business outreach purposes
Comply with all applicable data protection and anti-spam laws when contacting prospects
Honor removal or unsubscribe requests from any prospect
Not resell or redistribute prospect data obtained through the Service as a standalone product

Subscription, Fees, and Payment

You need to know that:

Certain features of the Service require a paid subscription. Fees, billing cycles, and plan details are listed on our Pricing page.
Fees are billed in advance and are non-refundable except as required by law or as otherwise stated at the time of purchase.
We may change our fees with advance notice. Continued use of the Service after a fee change takes effect constitutes acceptance of the new fees.
Failure to pay may result in suspension or termination of your account.

Free Trials

If we offer a free trial, it will be for the period specified at signup. We may require a payment method to start a trial and may automatically begin billing at the end of the trial unless you cancel beforehand.

Intellectual Property

Know these too:

The Service, including its software, design, and branding, is owned by SalesUmpire and protected by intellectual property laws. These Terms do not grant you ownership of the Service.
Your content: You retain ownership of the contact data, email content, and other materials you upload to the Service ("Your Content"). You grant us a limited license to use Your Content solely to provide and operate the Service on your behalf.
No branding on your emails: Emails sent through SalesUmpire will not include SalesUmpire branding, unless required by law or by an email provider's technical policies.

Third-Party Services

The Service may connect with third-party tools (such as your email inbox provider). Your use of those third-party services is subject to their own terms and privacy policies. We are not responsible for third-party services.

Service Availability

We aim to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may perform maintenance, updates, or changes that temporarily affect availability.

Disclaimer of Warranties

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee specific results, including email deliverability rates, reply rates, or sales outcomes.

Limitation of Liability

To the maximum extent permitted by law, SalesUmpire and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify and hold harmless SalesUmpire from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any law or third-party right, including anti-spam and data protection laws, or (d) content you send through the Service.

Termination

Know this too:

You may cancel your account at any time through your account settings or by contacting us.
We may suspend or terminate your account if you violate these Terms, misuse the Service, or fail to pay applicable fees.
Upon termination, your right to use the Service ends immediately. Certain provisions of these Terms (such as intellectual property, limitation of liability, and indemnification) will survive termination.

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website or by email. Continued use of the Service after changes take effect means you accept the updated Terms.

Governing Law and Disputes

These Terms are governed by the laws of the Republic of Uganda, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts located in Uganda, unless otherwise required by applicable law.
